The Legal Details
Scope of Work
The specific services to be provided will be outlined in a separate statement of work or project agreement. We commit to delivering work that meets the specifications agreed upon in writing before project commencement. Any changes to the scope of work must be agreed upon by both parties in writing.
Intellectual Property Ownership
Upon full payment for services rendered, all custom prompt architectures, workflow designs, AI integrations, and associated intellectual property created specifically for your business become your sole property. This does not include underlying AI models provided by third-party providers, pre-existing tools or methodologies we use, or general knowledge and skills retained by our team.
Payment Terms
Payment terms will be specified in your project agreement. Generally, we require an initial deposit to commence work, with remaining payments due upon completion or according to agreed milestones. Late payments may incur additional fees as outlined in your project agreement.
Limitation of Liability
Our liability is limited to the total amount paid for services. We are not liable for any indirect, incidental, or consequential damages. We make no warranties regarding AI model performance, as these are provided by third-party services beyond our control.
Confidentiality
We treat all client information as strictly confidential. Your proprietary frameworks, business processes, and any sensitive information shared during our engagement will not be disclosed to third parties or used for any purpose beyond delivering the agreed-upon services.
Governing Law
These terms are governed by the laws of the jurisdiction in which our business is registered. Any disputes arising from these terms or our services will be resolved through good-faith negotiation, and if necessary, through binding arbitration.
